Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TradieCEO website at https://www.tradieceo.com.au and the TradieCEO application (collectively, the "Service"), operated by TradieCEO Pty Ltd ("TradieCEO", "we", "our", or "us").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and TradieCEO Pty Ltd, an Australian company. The Service is intended for use by trade business operators in Australia.

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Be using the Service for legitimate business purposes related to trade or service work
• Provide accurate, complete, and current registration information

The Service is designed for business use. If you are registering on behalf of a company, you represent that you have the authority to bind that company to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete registration information
• Keep your password secure and not share it with others
• Notify us immediately of any unauthorised use of your account
• Ensure all users added to your account agree to these Terms

We reserve the right to suspend or terminate accounts that violate these Terms or that appear to have been compromised.

TradieCEO provides an AI-powered office management platform for Australian trade businesses, including but not limited to:

• AI receptionist to answer and respond to calls and messages
• Quote and invoice generation and management
• Job booking and calendar synchronisation (including Google Calendar)
• Customer relationship management (CRM)
• Payment chasing and invoice follow-up
• Google Review request automation
• Reporting and cash flow analytics

We may modify, add, or remove features at any time. We will provide reasonable notice for material changes that negatively affect your use of the Service.

TradieCEO offers an optional Google Calendar integration that allows you to sync booked jobs with your Google Calendar. By enabling this integration:

• You authorise TradieCEO to access, create, update, and delete events in your Google Calendar on your behalf
• You confirm you have the right to grant this access
• You understand that TradieCEO's use of Google Calendar data is governed by our Privacy Policy and the Google API Services User Data Policy

You may disconnect the Google Calendar integration at any time from Dashboard → Settings → Integrations, which immediately revokes TradieCEO's access to your calendar.

6.1 Subscription plans

TradieCEO is offered on a subscription basis. Current plan details and pricing are available at tradieceo.com.au/pricing. By subscribing, you authorise us to charge your payment method on a recurring basis.

6.2 Free trial

We may offer a free trial period. At the end of the trial, your subscription will automatically begin unless you cancel before the trial expires.

6.3 Payment processing

Payments are processed by Stripe. By subscribing you also agree to Stripe's terms. We do not store your credit card details.

6.4 Cancellation & refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial periods unless required by Australian Consumer Law.

6.5 Price changes

We reserve the right to change pricing. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Send unsolicited commercial communications (spam)
• Impersonate any person or entity
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorised access to any part of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to harass, abuse, or harm others
• Scrape or extract data from the Service without our written permission
• Resell or sublicense the Service without our written consent

Violation of this policy may result in immediate suspension or termination of your account without refund.

"Your Content" means any data, text, files, or other materials you upload, submit, or create using the Service (quotes, invoices, job notes, customer records, etc.).

You retain ownership of Your Content. By using the Service, you grant TradieCEO a limited, non-exclusive, royalty-free licence to host, store, process, and display Your Content solely to provide the Service to you.

You are solely responsible for Your Content and represent that you have all rights necessary to grant us the above licence, and that Your Content does not violate any third-party rights or applicable laws.

The Service, including its software, design, text, graphics, logos, and AI models, is owned by or licensed to TradieCEO and is protected by Australian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes during your subscription term.

Nothing in these Terms transfers ownership of any intellectual property to you.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

We aim for high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience downtime outside our control. We will endeavour to notify you of planned maintenance.

Support is provided via email at tradieceo@gmail.com. Response times may vary by plan.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

TradieCEO does not warrant that the Service will be error-free, that AI-generated content (quotes, messages, etc.) will be accurate or suitable for your needs, or that the Service will meet your specific requirements. You are responsible for reviewing and approving any AI-generated output before sending it to customers.

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy that you may have under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.

To the maximum extent permitted by law, TradieCEO's total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim.

TradieCEO will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

You agree to indemnify and hold harmless TradieCEO, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms.

By you: You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion.

By us: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice where practicable.

Upon termination, your right to use the Service ceases immediately. Sections 8 (Your Content), 9 (IP), 12 (Disclaimers), 13 (Liability), 14 (Indemnification), and 17 (Governing Law) survive termination.

We may update these Terms at any time. We will provide at least 14 days' notice of material changes by email and/or notice on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Service.

These Terms are governed by the laws of the State of Queensland, Australia, without regard to its conflict of law provisions.

Any dispute arising from these Terms or the Service will first be attempted to be resolved by good-faith negotiation. If unresolved after 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.
